1. Introduction
Welcome to Numel, a web-based AI decision platform (“Platform”) operated by The Morning Owl SDN. BHD. (“TMO,” “we,” “our,” or “us”), a company registered under the laws of Malaysia.
These Terms of Use (“Terms”) govern your access to and use of Numel, including all features, analytics tools, machine learning models, and related services (collectively, the “Services”).
By accessing or using Numel, you agree to comply with and be legally bound by these Terms.
If you do not agree, you must discontinue use immediately.
2. About Numel
Numel is a no-code AI modeling platform that enables users to:
Upload structured datasets
Apply machine learning models through a guided interface
Generate outputs, predictions, and analytical insights
Support business decision-making processes
Numel is a proprietary product of The Morning Owl SDN. BHD., which is responsible for platform operations, data handling standards, and compliance obligations.
Numel is a decision-support tool. It does not provide financial, legal, medical, or regulatory advice.
3. Definitions
“User” or “You” refers to any individual or entity accessing or using Numel.
“Account” means a registered user profile granting access to the Platform.
“User Data” refers to datasets uploaded by users into Numel.
“Model Output” refers to predictions, classifications, clustering results, visualizations, or other analytical outputs generated by the Platform.
“Content” includes text, data, files, reports, dashboards, or materials displayed on the Platform.
“TMO” or “We” refers to The Morning Owl SDN. BHD.
4. Eligibility
To use Numel, you must:
Have the legal capacity to enter into binding agreements
Use the Platform for lawful business or professional purposes
If you are using Numel on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
5. Account Registration and Security
To access certain features, you may be required to create an account.You agree to:
Provide accurate, current, and complete information
Maintain confidentiality of login credentials
Notify us immediately of unauthorized access or suspected security breaches
You are responsible for all activity conducted under your account. TMO reserves the right to suspend or terminate accounts that violate these Terms or pose security risks.
6. Use of the Platform
By using Numel, you agree:
To upload only data that you have the legal right to process
Not to upload unlawful, harmful, or infringing material
Not to attempt reverse engineering, decompiling, or extracting source code
Not to use the Platform to build a competing product
Not to interfere with system integrity or performance
Not to use automated tools to scrape, overload, or disrupt the Platform
You are solely responsible for:
The legality and accuracy of uploaded data
The interpretation and use of model outputs
Decisions made based on platform results
Numel provides analytical support, not guaranteed outcomes.
7. User Data and Ownership
a. Ownership
You retain ownership of all User Data uploaded into Numel. TMO does not claim ownership over your datasets.
b. Processing
By uploading data, you grant TMO a limited license to:
Process data for the purpose of delivering Services
Store data within a secure infrastructure
Generate model outputs for your use
We do not use your data to train external AI models unless explicitly agreed in writing.
c. Responsibility
You represent and warrant that:
You have obtained the necessary consents to process personal data
Your use of Numel complies with applicable data protection laws
8. Intellectual Property Rights
All intellectual property rights related to Numel — including:
Software architecture
Machine learning framework implementations
Interface design
Documentation
Branding and trademarks
— are owned exclusively by The Morning Owl.
You are granted a limited, non-exclusive, non-transferable license to use Numel for internal business purposes.
You may not:
Copy, modify, distribute, or sublicense the Platform
Use Numel’s proprietary models outside the Platform
Remove proprietary notices
9. Fees and Payments (If Applicable)
Where Numel operates under paid subscription plans:
Fees are billed as specified at the time of purchase
Payments are non-refundable unless required by law
Failure to pay may result in suspension or termination
TMO reserves the right to modify pricing with prior notice.
10. Disclaimers
Numel is provided on an “as is” and “as available” basis.
We do not guarantee:
Accuracy or completeness of model outputs
That predictions will achieve business results
Uninterrupted or error-free operation
Machine learning outputs are probabilistic and dependent on data quality. You acknowledge that business decisions remain your responsibility.
To the fullest extent permitted by law, TMO disclaims all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of Liability
To the extent permitted by law, TMO shall not be liable for:
Business losses or missed opportunities
Decisions made based on model outputs
Data loss resulting from user error
Indirect, incidental, or consequential damages
In no event shall total liability exceed the amount paid by you to Numel in the preceding 6 months.
12. Suspension and Termination
TMO reserves the right to:
Suspend or terminate access for violation of these Terms
Remove content that breaches applicable laws
Discontinue features or services
Upon termination:
Access to the Platform will cease
Stored data may be deleted after a reasonable retention period
Users are responsible for exporting data before termination.
13. Data Protection
Your use of Numel is subject to our Privacy Policy. By using the Platform, you consent to data processing as described therein. Where data is transferred internationally, we implement appropriate safeguards.
14. Indemnification
You agree to indemnify and hold harmless The Morning Owl, its officers, employees, and affiliates from claims, losses, liabilities, or expenses arising from:
Your misuse of the Platform
Violation of these Terms
Infringement of third-party rights
Unlawful processing of uploaded data
15. Modifications to the Platform or Terms
